Terms of Service
These Terms of Service govern your access to and use of ExactaLex. By creating an account or using the service, you agree to these Terms. If you do not agree, do not use the service.

1. Provider Information
ExactaLex is the product and trading name used for the service. The service is operated by Celestial Radiance FZ-LLC, a UAE Free Zone company (FZ-LLC), licence number 45031660, with registered and service address at FDAM0184 Compass Building, Al Shohada Road, AL Hamra Industrial Zone-FZ, Ras Al Khaimah, U.A.E. (“ExactaLex”, “we”, “us”, or “our”).
ExactaLex provides legal research software focused on South African labour-law materials and intended primarily for South African legal professionals.

We may update our provider information from time to time if our statutory details, contact details, or applicable disclosure requirements change.
2. What ExactaLex Is
ExactaLex is legal research support software for South African labour-law professionals. It helps you locate, organise, and summarise legal material, and prepare first-pass research outputs more efficiently.
ExactaLex is a research and productivity tool only. ExactaLex is not a law firm, does not practise law, does not appear in any matter, and does not provide regulated legal services. It does not provide legal advice, does not create a lawyer–client or attorney–client relationship, and is not a substitute for the professional judgement, skill, or responsibility of a qualified legal practitioner.
Outputs generated by ExactaLex are research aids, not legal opinions. You remain responsible for all legal judgement, verification, advice to clients, filing decisions, procedural steps, and professional use of any output.
ExactaLex should not be used as the sole source for urgent deadlines, filing dates, prescription periods, appeal periods, procedural time limits, or court or tribunal steps. Always verify such matters independently against primary sources and current procedural rules.
3. Professional Responsibility and Verification
You remain solely responsible for verifying every authority, citation, statutory reference, and statement before relying on it or using it in any advice, filing, pleading, or proceeding.
Outputs may be incomplete, outdated, inaccurate, or unsuitable for your specific matter. ExactaLex does not guarantee that all relevant authorities are included. Outputs must be checked against source authorities, current law, applicable procedural rules, and matter-specific facts before being relied upon or communicated to any third party.
ExactaLex does not guarantee any particular legal, CCMA, Labour Court, settlement, disciplinary, employment, or commercial outcome. Final legal judgement and verification remain with the practitioner.
4. Related Policies
These Terms incorporate our Privacy Policy and Refund & Cancellation Policy, which form part of your agreement with us. Please read them carefully. If there is any conflict between these Terms and those policies, these Terms prevail unless otherwise specified.
5. Accounts and Authorised Users
The service is intended for adults and professional or business users. Intended users include legal professionals, law firms, labour consultants, HR and legal departments, and other authorised professional users in South Africa.
You must provide accurate and complete registration information and keep your login credentials secure. You are responsible for all activity that occurs under your account. If you are registering or using the service on behalf of a firm, company, or organisation, you confirm that you have authority to do so and to bind that entity to these Terms.
You must not share account access unless your plan expressly permits it. Each authorised seat must be held by a specific, identified user.
6. Subscriptions, Plans, and Billing
Access to research features requires an active subscription or firm entitlement. Plans are billed on a recurring basis — monthly or annual — depending on the plan you select. Plan details, pricing, and included limits are displayed on the pricing page and in your billing settings.
Plans may include ExactaLex Credits, usage limits, research limits, seat limits, export limits, or fair-use restrictions. These are described on the applicable plan or pricing page. ExactaLex reserves the right to enforce fair-use limits to protect service quality for all users.
ExactaLex Credits are usage units used to measure access to research features. Credits have no cash value, are not transferable, and may expire or reset according to the applicable plan. ExactaLex Credits are not electronic money, gift cards, financial instruments, or stored monetary value. They are internal usage units for accessing software features only.
Some plans may be activated by online checkout. Firm and enterprise plans may be activated by manual invoice or EFT. Firm and enterprise access may be governed by a separate signed agreement.
ExactaLex is delivered as an online software service. No physical goods are shipped. Access is provided digitally through your account after activation of your subscription or entitlement.
Prices may be exclusive or inclusive of applicable taxes as displayed at checkout, on the pricing page, or on the applicable invoice. You are responsible for any taxes, duties, bank charges, or currency conversion costs that apply to your purchase, unless otherwise stated.
7. Payment Failure, Suspension, and Price Changes
Access to the service may be suspended or restricted if payment fails, if your subscription expires or lapses, or if there is a breach of these Terms, misuse, a security risk, or another legitimate reason. You remain responsible for any unpaid amounts regardless of suspension.
Access may be reactivated after payment or entitlement is restored, subject to any unpaid amounts or outstanding issues being resolved.
Prices may change. Price changes do not affect periods you have already paid for, unless required by law or the terms of your plan. Where reasonably possible, material price changes will be communicated to you before your next renewal.
8. Cancellation
You may cancel future renewals of your subscription at any time from the billing settings page or by contacting us. Cancellation stops future charges. You retain access for the remainder of the period you have already paid for.
Cancellation does not automatically generate a refund for the current or previous billing periods unless required by applicable law or approved under our Refund & Cancellation Policy. Consumer rights, where applicable under South African law, are not excluded by these Terms.
Firm and enterprise access activated by manual invoice or EFT is governed by the applicable invoice or signed agreement.
9. Acceptable Use and Fair Use
You agree not to misuse the service. Prohibited conduct includes: attempting to reverse-engineer, decompile, or copy the service or its components; scraping or automated harvesting of content; creating excessive or abusive load on the platform; sharing accounts beyond permitted seats; reselling or sublicensing access without authorisation; using the service for any unlawful purpose; and any conduct that harms the service, other users, third parties, or ExactaLex.
You may use generated outputs for your internal and professional legal work, subject to the verification obligations in these Terms. You may not publicly republish, resell, or misrepresent ExactaLex outputs as independently verified legal opinions.
10. User-Submitted Content and Confidentiality
You retain ownership of content you submit to the service (“submitted content”). By submitting content, you confirm that you have the authority and right to do so, including any necessary authorisation from your clients where relevant.
You are responsible for maintaining legal professional privilege, client confidentiality, and compliance with the Protection of Personal Information Act (POPIA) and other applicable obligations in respect of any information you submit. You should minimise submission of unnecessary sensitive personal information.
ExactaLex processes submitted content to provide the service to you. ExactaLex does not sell user data and does not share submitted content with third parties except as necessary to operate the service or as required by law. ExactaLex does not intend to use confidential matter-specific content to train or improve publicly available or general-purpose AI models, and will not do so without your express agreement where required by law.
11. Third-Party Providers and Cross-Border Processing
ExactaLex relies on trusted third-party providers to operate the service. These may include cloud hosting and infrastructure providers, authentication providers, AI and model providers used to generate research outputs, payment processors, and email or support providers.
Processing of data may occur outside the Republic of South Africa. Where this occurs, ExactaLex will use reasonable contractual and technical safeguards appropriate to the processing. We do not guarantee the continuous availability of any specific third-party provider, and service availability may be affected by provider outages or changes beyond our reasonable control.
12. Security
ExactaLex applies reasonable technical and organisational measures to protect the service and the information it holds. No method of transmission or storage is absolutely secure, and we cannot guarantee that the service will be entirely free from unauthorised access or breach at all times.
You are responsible for keeping your login credentials confidential and for using strong, unique credentials. You must notify us promptly at info@celestial-radiance.com if you become aware of any unauthorised access to your account.
If we have reasonable grounds to believe that personal information has been accessed or acquired by an unauthorised person, we will take reasonable steps to investigate, contain, and remediate the compromise, and notify affected users and/or the Information Regulator where required by POPIA or other applicable law.
13. Intellectual Property
ExactaLex and its licensor(s) own all intellectual property rights in the software, platform, user interface, workflows, retrieval logic, design, code, brand, and related materials. You receive only a limited, non-exclusive, non-transferable right to access and use the service for lawful professional purposes during your active subscription period.
You may use generated research outputs for your internal and professional legal work, subject to independent verification and these Terms. You may not copy, clone, distribute, resell, reverse engineer, or otherwise exploit the platform or its components without our express written permission. You may not conduct or publish systematic benchmarking, security testing, scraping, or competitive analysis of the platform without our prior written permission, except where such restriction is prohibited by law.
Nothing in these Terms transfers ownership of your own submitted content or your own work product to ExactaLex.
14. Outputs and Limitations
Research outputs generated by ExactaLex may be incomplete, outdated, inaccurate, or unsuitable for a specific matter. ExactaLex does not guarantee that all relevant authorities, statutes, regulations, or case law will be identified or included in any output.
All outputs must be independently verified against primary source authorities, current legislation, applicable procedural and court rules, and the specific facts of your matter before being relied upon, filed, or communicated to any third party.
ExactaLex makes no guarantee of any legal, CCMA, Labour Court, settlement, disciplinary, employment, or commercial outcome.
15. Data Retention and Deletion
Research runs, account data, usage records, logs, and billing records may be retained for as long as necessary to operate and maintain the service, comply with legal obligations, resolve disputes, and enforce these Terms.
You may request deletion or correction of your personal information where permitted by applicable law, including POPIA. Some information may be retained after account closure for legal, accounting, security, backup, or dispute-resolution purposes. Backup copies and system logs may persist for a limited period after a deletion request is processed.

16. Support and Service Availability
Support is provided primarily by email at info@celestial-radiance.com. We aim to respond within a reasonable time during business hours.
The service may be unavailable from time to time due to scheduled or emergency maintenance, software errors, upgrades, infrastructure outages, third-party provider disruptions, API rate limits, or security events. We do not guarantee uninterrupted or error-free availability. No 24/7 uptime guarantee is provided unless a separate written Service Level Agreement has been entered into for a Firm or Enterprise plan.
We may add, modify, suspend, or discontinue features, models, workflows, user interface elements, plans, or usage limits from time to time. Where practical, we will give reasonable notice before materially reducing paid core functionality during a paid subscription period.
17. Termination by ExactaLex
ExactaLex may suspend or terminate your access to the service, with or without notice where circumstances require it, for any of the following reasons: non-payment or payment failure; misuse or abuse of the service; engaging in unlawful activity through or in connection with the service; breach of these Terms; a security risk to the service or other users; unauthorised account sharing; excessive automation or scraping; or conduct that harms the service, other users, third parties, or ExactaLex.
Upon termination, your right to access the service ends immediately. Clauses that by their nature should survive termination — including professional responsibility, limitation of liability, intellectual property, data retention, and governing law — continue to apply after termination.
18. Limitation of Liability
To the maximum extent permitted by applicable law, ExactaLex is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. We are not liable for any indirect, incidental, special, or consequential losses, or for any loss arising from reliance on unverified outputs, from service interruption, or from third-party provider failures.
Our total aggregate liability to you for any claim arising under or in connection with these Terms is limited to the amounts you paid for the service in the three calendar months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits liability for fraud, or any other liability that cannot be excluded or limited under applicable South African law.
19. Document Hierarchy
These Terms, together with our Privacy Policy and Refund & Cancellation Policy, constitute the entire agreement between you and ExactaLex regarding your use of the service, and supersede all prior agreements or representations on this subject.
Where ExactaLex has entered into a separate signed agreement with a firm or enterprise client, that signed agreement prevails over these Terms to the extent of any conflict. Plan-specific terms displayed on the pricing or billing page supplement these Terms.
20. General Provisions
Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision is severed and the remaining provisions continue in full force.
No waiver. Failure to enforce any provision of these Terms does not waive our right to enforce it in the future.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets, provided your rights under these Terms are not materially diminished.
Force majeure. Neither party is liable for delays or failures caused by circumstances beyond reasonable control, including natural events, power outages, internet disruptions, third-party service failures, or government action.
Notices. Notices to you will be sent to the email address associated with your account or communicated through the service. Notices to ExactaLex should be sent to info@celestial-radiance.com.
21. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through the service or by email to the address associated with your account before taking effect. Continued use of the service after the effective date of any update constitutes acceptance of the revised Terms.
22. Governing Law
These Terms are governed by the laws of the Republic of South Africa. The South African courts have non-exclusive jurisdiction over any dispute arising from or in connection with these Terms or your use of the service.
